Any deviation from this fundamental principle dilutes the very purpose of arbitration, which is to offer a private, consensual, and predictable dispute resolution mechanism.<\/p>\n<h3 data-start=\"909\" data-end=\"1010\"><strong data-start=\"913\" data-end=\"1010\">Case Overview: M\/S Viva Infraventure Pvt. Ltd. vs. New Okhla Industrial Development Authority<\/strong><\/h3>\n<p data-start=\"1012\" data-end=\"1332\">In <strong data-start=\"1015\" data-end=\"1048\">O.M.P.(MISC.)(COMM.) 606\/2024<\/strong>, the Delhi High Court bench of <strong data-start=\"1080\" data-end=\"1105\">Justice Jasmeet Singh<\/strong> ruled that when an <strong data-start=\"1125\" data-end=\"1192\">arbitration agreement contains an exclusive jurisdiction clause<\/strong>, the courts mentioned therein are to be presumed as the <strong data-start=\"1249\" data-end=\"1274\">&#8216;seat&#8217; of arbitration<\/strong>, unless parties <strong data-start=\"1291\" data-end=\"1331\">expressly agree otherwise in writing<\/strong>.<\/p>\n<h4 data-start=\"1334\" data-end=\"1366\"><strong data-start=\"1339\" data-end=\"1366\">Brief Facts of the Case<\/strong><\/h4>\n<ul data-start=\"1368\" data-end=\"2255\">\n<li data-start=\"1368\" data-end=\"1576\">\n<p data-start=\"1370\" data-end=\"1576\"><strong data-start=\"1370\" data-end=\"1411\">M\/s Viva Infraventure Private Limited<\/strong>, the petitioner, was awarded a contract for the construction of a 60-meter-wide road in Greater Noida by the <strong data-start=\"1521\" data-end=\"1575\">New Okhla Industrial Development Authority (NOIDA)<\/strong>.<\/p>\n<\/li>\n<li data-start=\"1577\" data-end=\"1797\">\n<p data-start=\"1579\" data-end=\"1797\">Clause 32 of the contract contained an <strong data-start=\"1618\" data-end=\"1651\">exclusive jurisdiction clause<\/strong>, categorically stating that only the courts at <strong data-start=\"1699\" data-end=\"1735\">Gautam Budh Nagar, Uttar Pradesh<\/strong> would have jurisdiction over any disputes under the contract.<\/p>\n<\/li>\n<li data-start=\"1798\" data-end=\"1924\">\n<p data-start=\"1800\" data-end=\"1924\">The Allahabad High Court appointed a <strong data-start=\"1837\" data-end=\"1856\">Sole Arbitrator<\/strong> under <strong data-start=\"1863\" data-end=\"1923\">Section 11 of the Arbitration and Conciliation Act, 1996<\/strong>.<\/p>\n<\/li>\n<li data-start=\"1925\" data-end=\"2095\">\n<p data-start=\"1927\" data-end=\"2095\">However, in the first procedural order, the Sole Arbitrator <strong data-start=\"1987\" data-end=\"2051\">unilaterally declared New Delhi as the &#8216;seat&#8217; of arbitration<\/strong>, despite the exclusive jurisdiction clause.<\/p>\n<\/li>\n<li data-start=\"2096\" data-end=\"2255\">\n<p data-start=\"2098\" data-end=\"2255\">Later, when the arbitrator\u2019s mandate expired, the petitioner approached the <strong data-start=\"2174\" data-end=\"2215\">Delhi High Court under Section 29A(5)<\/strong> for extension of the arbitrator\u2019s term.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"2257\" data-end=\"2291\"><strong data-start=\"2261\" data-end=\"2291\">Key Issue Before the Court<\/strong><\/h3>\n<p data-start=\"2293\" data-end=\"2448\"><strong data-start=\"2293\" data-end=\"2448\">Can an arbitrator override an exclusive jurisdiction clause by designating a different seat of arbitration without the express consent of both parties?<\/strong><\/p>\n<h3 data-start=\"2450\" data-end=\"2483\"><strong data-start=\"2454\" data-end=\"2483\">Delhi High Court\u2019s Ruling<\/strong><\/h3>\n<p data-start=\"2485\" data-end=\"2505\">The Court held that:<\/p>\n<ul data-start=\"2507\" data-end=\"3425\">\n<li data-start=\"2507\" data-end=\"2717\">\n<p data-start=\"2509\" data-end=\"2717\"><strong data-start=\"2509\" data-end=\"2541\">The parties\u2019 choice prevails<\/strong>\u2014where the contract specifies an exclusive jurisdiction for enforcement of the arbitration clause, the courts in that location will be considered the <strong data-start=\"2691\" data-end=\"2716\">&#8216;seat&#8217; of arbitration<\/strong>.<\/p>\n<\/li>\n<li data-start=\"2718\" data-end=\"2938\">\n<p data-start=\"2720\" data-end=\"2938\">The phrase in Clause 32\u2014<em data-start=\"2744\" data-end=\"2917\">\u201cAny suit or application for enforcement of this arbitration clause shall be filed in the competent court at Gautam Budh Nagar, and no other court shall have jurisdiction\u201d<\/em>\u2014was deemed decisive.<\/p>\n<\/li>\n<li data-start=\"2939\" data-end=\"3088\">\n<p data-start=\"2941\" data-end=\"3088\">The <strong data-start=\"2945\" data-end=\"3025\">Sole Arbitrator\u2019s procedural order setting New Delhi as the seat was invalid<\/strong> because the respondent had <strong data-start=\"3053\" data-end=\"3087\">not consented to it in writing<\/strong>.<\/p>\n<\/li>\n<li data-start=\"3089\" data-end=\"3262\">\n<p data-start=\"3091\" data-end=\"3262\">As per <strong data-start=\"3098\" data-end=\"3138\">Section 20(3) of the Arbitration Act<\/strong>, an arbitrator may fix a <strong data-start=\"3164\" data-end=\"3173\">venue<\/strong> for hearings, but <strong data-start=\"3192\" data-end=\"3261\">cannot alter the contractual &#8216;seat&#8217;
